1. ACCEPTANCE THE TERMS AND CONDITIONS OF USE
1.1 By using ChatEbooks as a platform to market and sell your e-books, you acknowledge that
you have read and understand these Terms and Conditions of Use and agree to be bound by
them. In addition, you acknowledge that you are at least 18 years of age and are fully able and
competent to enter into the terms, conditions and obligations warranted in this agreement.
1.2 Your access to and use of ChatEbooks.com is subject exclusively to these Terms and
Conditions of Use. ChatEbooks may change or modify these Terms and Conditions of Use from
time to time without prior notice. These amendments include, but are not limited to, e-book
marketing and selling, programs, special offers, etc. If you do not agree to these Terms and
Conditions of Use, you are not authorized to use this website as a platform for marketing and
selling your e-books.
1.3 These Terms and Conditions of Use will take effect as soon as you agree to its provisions. It
will remain in effect until terminated by either party.
2. INTELLECTUAL PROPERTY
The service marks/trademarks displayed on this website, including, without limitation this
website’s graphics, logos, layout and design, are registered service marks/trademarks of the
website owner. Your use of our website does not constitute any right for you to use such service
marks/trademarks without the prior written permission of the website owner.
3. LINKS TO OTHER WEBSITES
Users may find advertising or other content on our site that link to the sites and services of our
partners, suppliers, advertisers, sponsors, licensors and other third parties. Any links to other
websites is not an endorsement of such websites and you acknowledge and agree that we are not
responsible for the content or availability of any such sites. Additionally, these sites and services
may have their own Privacy Policy so it is your responsibility to review their policy before
sending them any personal data. Therefore, you access any such third party websites at your own
risk.
4. MEMBERSHIP
4.1 Authors will join and agree to pay the annual membership fee amount of $9.99.
4.1.1 Membership payments will be made through the Author’s PayPal account.
4.1.2 If the Author is granted a refund during the 30-day money back guarantee period, the
Author’s book will be removed and will no longer be listed for sale on the site.
4.2 During the sign-up process, Authors will be prompted to set up their account
information/profile by doing the following, including but not limited to:
 Providing relevant personal information (Name, email address, etc.)

 Setting up user name
 Pay a membership fee (via PayPal) in the amount of $9.99
4.3 Once logged in, Authors will have the following capabilities, including but not limited to:
 Setting up PayPal account information (for membership payments and royalty receipts)
 Uploading e-books for sale (e-book document, book cover, description, etc.)
 Reviewing buyer statistical data
 Viewing/editing profile
5. YOUR ACCOUNT
5.1 Once you’re registered as an Author with ChatEbooks, you are responsible for maintaining
the confidentiality of your user name and password, and you agree to take full responsibility for
all activities that may transpire under your account. All of your personal information i.e. name,
email address, etc., will be completely confidential and can be accessed from the “My Account”
option in the Settings section.
5.2 You are to maintain only one Membership account, and you must be either the Author or
Contributor of the books that are listed for sale under your account. The account information that
you provide must be accurate and must not contain any fictitious information. If for any reason
your account has been terminated, you may not create a new account under a different name, or
re-create the account that was terminated.
5.3 It is your responsibility to set your own pricing for the distribution of your e-books.
6. CHANGE OF USE
We reserve the right to:
6.1 Change or remove (temporarily or permanently) the Website or any part of it and you
confirm that ChatEbooks.com shall not be liable to you for any such change or removal. You
will be notified in the event of a mandated/necessary removal in a time-frame deemed
appropriate to the situation.
6.2 Change these Terms and Conditions at any time, and your continued use of the Website
following any changes shall be deemed to be your acceptance of such changes.
7. AUTHOR RESPONSIBILITIES
7.1 The Author agrees that ChatEbooks shall not, in any way, acquire ownership of the e-books
and is free to pursue any and all marketing and selling ventures.
7.2 The Author grants ChatEbooks the right to market their e-book using methods it deems
appropriate.
7.3 The Author agrees to interact with Readers and other Users via ChatEbooks’ chat forum.

7.4 The Author reserves the right to discontinue the selling of their e-books at any time without
prior notice.
7.5 The Author agrees to upload all required information for selling their e-books onto the
website including, but not limited to, digital manuscript, e-book cover, description, etc.
8. CONTENT GUIDELINES
Inappropriate content in book titles, cover art, product descriptions, etc. are strictly prohibited. If
content requirements are not met, we reserve the right to block or remove the book from our
website and terminate your membership immediately without prior notice. You agree that you
will adhere to our content guidelines as they relate to the following:
8.1 Pornography, Nudity and Obscenity. We do not accept content with nudity and sexually
explicit material.
8.2 Offensive, Hateful and Violent Content. We do not accept content that promotes hate
towards groups based on race, gender, religion and disability and contain direct threats of
violence against a person or a group of people.
8.3 Illegal Content and Copyright Infringement. We do not accept content that violates laws or
copyright, trademark, privacy, publicity and other rights. Alleged piracy/infringement
complaints will be investigated immediately; a discovery of violation will result in immediate
termination of your membership without prior notice.
8.4 Spamming, Codes and Viruses. We do not allow spamming or the transmission of malicious
codes and viruses that may harm our users.
8.5 Social Networking. You agree to refrain from posting vulgar and/or offensive comments or
pictures on discussions boards or during live chats. Comments/pictures flagged by group
members will be investigated and removed if deemed inappropriate. An excessive amount of
flagged posts is grounds for account suspension and/or immediate termination (at our discretion)
without prior notice.
8.6 Quality of Content. Authors agree to take pride in their work to ensure quality of content and
refrain from offering poorly edited/formatted books for sale on the site.
8.7 Content Rejection. You agree that all content uploaded for sale on ChatEbooks is in
compliance with our content guidelines prior to publishing. We reserve the right not to accept
your e-books or remove it from the website if it does not adhere to our content requirements.
9. ROYALTY AND PAYMENT
9.1 The Author will receive 100% of their e-book revenues (minus the standard PayPal fees
associated with PayPal transactions).

9.2 Royalty Payments are directly deposited into the Author’s account immediately after a
purchase of their book has been made.
9.3 ChatEbooks uses “PayPal’s Mass Payout” system in order to remit payments to Authors. The
Author is responsible for the standard PayPal fees associate with Mass Payout (currently $.25 per
transaction as of October 16, 2017).
10. REFUNDS
Since digital products cannot be recouped by ChatEbooks once purchases have been made, and
100% of revenues are remitted directly to Authors, ChatEbooks will not process refunds to
readers. If Authors receive a refund request from a purchaser of their e-book, it is the Author’s
responsibility to handle that request (at their discretion) to the satisfaction of the purchaser.
11. COPYRIGHT
11.1 ChatEbooks does not use copyright content unless we have prior written consent of the
copyright holder. In any case, if you find any violation of copyright law or if the content is yours
and you have not been given permission to use it, please contact us immediately and we will
remove your book.
11.2 In accessing the Website you agree that you will access it solely for your personal, noncommercial
use. None of the content may be downloaded, copied, reproduced, transmitted,
stored, sold or distributed without the prior written consent of the copyright holder. This
excludes the downloading, copying and/or printing of pages of the Website for personal, noncommercial
home use only.
12. DISCLAIMERS AND LIMITATION OF LIABILITY
12.1 The Website is provided on an AS IS and AS AVAILABLE basis without any
representation or endorsement made and without warranty of any kind whether expressed or
implied, including but not limited to the implied warranties of satisfactory quality, fitness for a
particular purpose, non-infringement, compatibility, security and accuracy.
12.2 To the extent permitted by law, ChatEbooks.com will not be liable for any indirect or
consequential loss or damage whatsoever (including without limitation loss of business,
opportunity, data, profits) arising out of or in connection with the use of the Website.
12.3 ChatEbooks.com makes no warranty that the functionality of the Website will be
uninterrupted or error free, that defects will be corrected or that the Website or the server that
makes it available are free of viruses or anything else which may be harmful or destructive.
12.4 Nothing in these Terms and Conditions of Use shall be construed so as to exclude or limit
the liability of ChatEbooks.com for death or personal injury as a result of the negligence of
website or that of its employees or agents.

13. INDEMNITY
You agree to indemnify and hold ChatEbooks and its employees and agents harmless from and
against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any
claims or actions brought against ChatEbooks arising out of any breach by you of these Terms
and Conditions of Use or other liabilities arising out of your use of this website.
14. DISPUTES
These Terms and Conditions of Use shall be governed by the laws of the State of California. Any
claim or dispute between you and ChatEbooks will be dealt with under the jurisdiction of the
Riverside County, and must first be submitted to Arbitration. The party initiating Arbitration
shall do so by complying with the following rules: a) the arbitration shall be conducted by
telephone, online and/or be solely based on written submissions, as selected by the party
initiating the arbitration; b) the arbitration shall not involve any personal appearance by the
parties or witnesses unless otherwise mutually agreed by the parties; and c) any judgment on the
award rendered by the arbitrator may be entered in any court of competent jurisdiction.
15. GOVERNING LAW
These Terms and Conditions shall be governed by and construed in accordance with the law of
USA and you hereby submit to the exclusive jurisdiction of the USA courts. For any further
